Field Book
Terms of Service
Field Book is a private tool for invited users only. By using it you accept these terms, including limits on warranties and liability, individual arbitration in Saline County, Arkansas, and a class action and jury trial waiver. Contact [email protected].
The service
Field Book is a private, invite-only work order tracking tool. Accounts are provided by the administrator. When authorized, Field Book reads and sends Gmail only as you allow through Google.
The public site is velcinderfieldbook.com. These terms are an agreement between you and the operator of Field Book (the “provider”).
Acceptance and who may use it
By accessing or using Field Book you accept these terms. If you do not accept them, do not use the service.
Only people the administrator invites may use Field Book. There is no public registration. The administrator may access, review, suspend, or remove any account and any content as needed to operate the service, enforce these terms, or meet a legal duty.
Accounts
Keep your password and authenticator app secure. You are responsible for activity under your account. Tell the administrator if you think someone else used it. The administrator may suspend or remove accounts at any time.
Acceptable use
You will not use Field Book for any unlawful purpose; gain or attempt unauthorized access; interfere with the service; upload malware; send spam or harass anyone; or view or copy data beyond your role. When you connect Gmail you must also follow Google’s terms. You are responsible for having the right to upload content and any tenant, vendor, or owner information you put into the service or that you cause to be imported from email.
User content
You keep ownership of content you submit. You grant the provider a limited license to host, process, display, and transmit that content only as needed to run Field Book.
Third-party services
Google, Supabase, Cloudflare, and any SMS carrier we use are third parties. Their services are governed by their own terms. The provider is not responsible for those services.
Assumption of risk
You understand that work orders, tenant communications, and maintenance decisions can affect property and people. You assume the risk of using software to help manage that work, including the risk that a message is missed, misread, delayed, or sent in error.
No emergency service and no professional advice
FIELD BOOK IS NOT A SUBSTITUTE FOR EMERGENCY SERVICES. CALL 911 OR YOUR LOCAL EMERGENCY NUMBER FOR ANY LIFE-SAFETY EMERGENCY, INCLUDING FIRE, GAS LEAK, MEDICAL EMERGENCY, OR IMMINENT DANGER.
YOU ARE SOLELY RESPONSIBLE FOR VERIFYING WORK ORDERS, SCHEDULES, AND COMMUNICATIONS TO TENANTS AND OWNERS, AND FOR EVERY DECISION YOU MAKE USING THE SOFTWARE. FIELD BOOK DOES NOT PROVIDE PROFESSIONAL, LEGAL, ENGINEERING, OR PROPERTY MANAGEMENT ADVICE.
Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, THE PROVIDER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY OF ACCURACY, UPTIME, SECURITY, OR ERROR-FREE OPERATION.
THE PROVIDER DOES NOT WARRANT THAT AUTOMATED EMAIL PARSING, CLASSIFICATION, AUTO-REPLIES, OR EMERGENCY DETECTION WILL BE CORRECT, COMPLETE, OR TIMELY. YOU MUST REVIEW OUTPUT BEFORE YOU RELY ON IT.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE PROVIDER IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOST DATA; PROPERTY DAMAGE; PERSONAL INJURY ARISING FROM MAINTENANCE WORK; OR MISSED OR LATE WORK ORDERS.
THE PROVIDER IS NOT LIABLE FOR MISUSE OF THE SOFTWARE BY ANY USER OR THIRD PARTY; UNAUTHORIZED ACCESS CAUSED BY A USER’S FAILURE TO PROTECT CREDENTIALS; USER CONTENT; OR FAILURES OF THIRD-PARTY SERVICES INCLUDING GOOGLE, SUPABASE, CLOUDFLARE, OR AN SMS CARRIER.
THE PROVIDER’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS IS CAPPED AT THE GREATER OF THE AMOUNTS YOU PAID THE PROVIDER IN THE TWELVE MONTHS BEFORE THE CLAIM OR FIFTY U.S. DOLLARS ($50). THE SERVICE IS PROVIDED FREE TO INVITED USERS.
THESE LIMITS APPLY TO ALL THEORIES OF LIABILITY, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), AND STRICT LIABILITY. THEY ARE AN ESSENTIAL BASIS OF THE BARGAIN AND APPLY EVEN IF THE PROVIDER WAS ADVISED OF THE POSSIBILITY OF THE DAMAGES. THEY DO NOT APPLY WHERE APPLICABLE LAW FORBIDS THE EXCLUSION OR LIMITATION.
Indemnification
You will defend, indemnify, and hold harmless the provider and its owners, agents, and contractors from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use or misuse of Field Book, your content, your violation of these terms or of law, or claims by tenants, vendors, owners, or other third parties that arise from your actions.
Disputes, arbitration, and waivers
Before filing a claim, email [email protected] with a written description of the dispute and try in good faith to resolve it for 30 days.
If it is not resolved, the dispute will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable. The seat of arbitration is Saline County, Arkansas, or the hearing may be held remotely. Either party may instead bring an individual claim in small claims court in Saline County, Arkansas, if the claim qualifies.
YOU AND THE PROVIDER WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. ARBITRATION AND COURT ACTIONS MUST BE INDIVIDUAL ONLY.
You may opt out of arbitration by emailing [email protected] within 30 days after you first accept these terms, with your name, the email on your account, and a clear statement that you opt out of arbitration. If the class action waiver is found unenforceable, that class, collective, or representative claim will proceed in court in Saline County, Arkansas, and not in arbitration. All other claims remain subject to arbitration.
Where the law allows, you must bring any claim within one year after it arose, or it is permanently barred.
Governing law and venue
These terms are governed by the laws of the State of Arkansas, without regard to conflict-of-law rules. For any matter that is not arbitrated, the exclusive venue is the state or federal courts sitting in Saline County, Arkansas, and you consent to personal jurisdiction there.
Termination
The provider may suspend or terminate the service or your access at any time, with or without notice, including if you violate these terms. You may stop using Field Book at any time. The sections on disclaimers, limitation of liability, indemnification, disputes, and the general terms below survive termination.
